MinIdent-Win Licence Agreement

This is a legal agreement between you, the end user, and the owners of the
MinIdent-Win software and database. BY OPENING THE SEALED COMPACT DISK
PACKAGE, YOU ARE AGREEING TO BECOME BOUND BY THE TERMS OF THIS AGREEMENT.
If you do not agree to the terms of this agreement, do not open the disk
package. Promptly return the unopened disk package and the other items
(including any written materials, containers and packaging) to the place
where you obtained them for a full refund.

MinIdent-Win Licence Agreement

(multiple platform, site licence)

1. OWNERSHIP: The MinIdent-Win software program (the "SOFTWARE") and the
MinIdent-Win database (the "DATABASE") are owned by Micronex® and
Associates (the "OWNERS").

2. GRANT OF LICENCE: The OWNERS grant you the right to use the SOFTWARE
and DATABASE on < x >computer platforms. Alternatively, you may network
the SOFTWARE and DATABASE as long as the SOFTWARE and DATABASE are not
available on more than <x > computer terminals.

3. COPYRIGHT: The SOFTWARE and DATABASE are protected by Canadian
copyright laws and also by international treaty provisions. Therefore, you
must treat the SOFTWARE and DATABASE like any other copyrighted material
(e.g., a book or musical recording) except that you may install the
SOFTWARE and DATABASE on up to < x > hard disks provided you keep the
original solely CD for backup or archival purposes. You may copy any
written materials accompanying the software.

4. OTHER RESTRICTIONS: You may not rent or lease the SOFTWARE and
DATABASE, nor you may transfer ownership of them and any accompanying
written materials to any third party. You may not reverse engineer,
decompile or disassemble the SOFTWARE.

Limited Warranty

LIMITED WARRANTY: The OWNERS warrant that (a) the SOFTWARE will perform
substantially as claimed in advertisements and/or any accompanying written
materials, for a period of 90 days from the date of receipt; and (b) the
DATABASE will provide reasonably accurate information as expected from
compilations of similar nature, for a period of 90 days from the date of
receipt. Any implied warranties on the SOFTWARE and DATABASE are limited
to 90 days. Some jurisdictions do not allow limitations on duration of an
implied warranty, so the above limitation may not apply to you.

CUSTOMER REMEDIES: The OWNERS' entire liability and your exclusive remedy
shall be, at the OWNERS' option, either (a) return of the price paid or
(b) repair or replacement of the SOFTWARE or DATABASE that does not meet
the OWNERS' Limited Warranty and which is returned to the OWNERS with a
copy of your purchase receipt. This Limited Warranty is void if failure of
the SOFTWARE or DATABASE has resulted from accident, abuse or
misapplication. Any replacement SOFTWARE or DATA will be warranted for the
remainder of the original warranty period or 30 days, whichever is longer.

NO OTHER WARRANTIES: The OWNERS disclaim all other warranties, either
express or implied, including but not limited to implied warranties of
merchantability and fitness for a particular purpose, with respect to the
SOFTWARE, DATABASE and any accompanying written materials. This Limited
Warranty gives you specific legal rights. You may have others, which vary
with jurisdictions.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES: In no event shall the OWNERS or
their suppliers be liable for any damages whatsoever (including, without
limitation, damages for loss of business profits, business interruption,
loss of business information, or other pecuniary loss) arising out of the
use of or inability to use this product, even if the OWNERS have been
advised of the possibility of such damages. Because some jurisdictions do
not allow the exclusion or limitation of liability for consequential or
incidental damages, the above limitations may not apply to you.

This Agreement is governed by the laws of the Province of Alberta, Canada.
